LLC Filing Fees by State

Five states, five different price tags — and in every case the filing fee is only the first line of the bill.

The ladder of one-time fees runs from $40 in Kentucky through $70 in California, $90 in Delaware and $125 in Florida, up to $200 in New York. Paid once, with the articles of organization, these fees buy the moment the LLC comes into existence and nothing more.

California shows why the filing fee misleads on its own. It is the second-cheapest state here to file in at $70, yet every California LLC owes an $800 franchise tax every year, regardless of income — the heaviest recurring charge on this list by a wide margin.

Delaware follows the same pattern at a smaller scale: a $90 filing fee, then a $300 annual tax that is separate from the fee and owed every year after formation.

Florida and New York charge with obligations rather than large taxes. Florida's $125 filing is followed by an annual report due by May 1 each year. New York's $200 is followed by the publication requirement — two newspapers, six consecutive weeks, then a certificate of publication — and by a biennial statement every two years.

Read across the table, the pattern is consistent: the state that is cheapest to file in is not automatically the cheapest to keep. The step-by-step chapter shows where each of these charges lands in the formation sequence, and the deadlines chapter dates the recurring ones.
